{{PRODUCT_NAME}} — Terms of Service
Effective date: {{EFFECTIVE_DATE}}
These Terms of Service ("Terms") are a binding agreement between you ("you", "User") and {{COMPANY_LEGAL_NAME}}, {{COMPANY_ADDRESS}}, {{COUNTRY}} ("we", "us", "{{PRODUCT_NAME}}"). They govern your access to and use of the {{PRODUCT_NAME}} website at {{WEBSITE_URL}} and related tools and services (the "Service").
By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the Service.
1. The Service
{{PRODUCT_NAME}} is a studio of AI-assisted tools for online-video creators. It can analyze public channel metadata, propose titles, generate original narration scripts, produce AI voiceovers, assemble videos from stock footage and captions, and generate SEO metadata and thumbnails. Outputs are generated by automated systems and by third-party AI providers, and may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing, editing, and deciding whether and how to publish any output.
2. Eligibility & accounts
- You must be at least 16 years old (or the minimum digital-consent age in your country, if higher) and able to form a binding contract.
- You are responsible for the accuracy of your account information and for all activity under your account. Keep your credentials secure and notify us promptly at {{CONTACT_EMAIL}} of any unauthorized use.
- You may sign in using a third-party identity provider (e.g. Google). Your use of that provider is governed by its own terms.
3. Credits, plans & billing
- The Service uses a credit system. Certain tools consume credits when they run. Credit costs are shown before a tool runs.
- We charge for a tool run only on successful completion. Failed runs are not charged.
- Credits may be purchased in packs or included in a subscription plan. Prices, inclusions, and credit costs are shown at the point of purchase and may change prospectively.
- Payments are processed by our payment provider (e.g. Stripe). You authorize us and our provider to charge your selected payment method.
- Credits have no cash value, are not transferable, and (unless required by law or stated otherwise) may expire as described at purchase. Refunds are governed by our Refund Policy.
- Taxes (including VAT/KDV where applicable) may be added.
4. Your content and your responsibilities
- "User Content" means inputs you provide (channel links, prompts, scripts, edits, uploaded material) and outputs generated for you.
- You represent that you have all necessary rights to your inputs and that your use of the Service and of any output complies with our Acceptable Use Policy, applicable law, and the terms of any platform where you publish (including YouTube's Terms of Service and Community Guidelines).
- You are solely responsible for content you publish, including any required disclosure of AI-generated or synthetic content, and for ensuring it does not infringe intellectual-property, privacy, publicity, or other rights.
5. Intellectual property & licenses
- Our IP. The Service, its software, and its look and feel are owned by us or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms.
- Your inputs. You retain ownership of your inputs. You grant us a worldwide, non-exclusive license to host, process, and transmit them solely to operate, secure, and improve the Service and to provide outputs to you, including sending them to the third-party providers listed in our Subprocessors.
- Outputs. As between you and us, and to the extent permitted by law and by our providers' terms, we assign to you our rights in outputs generated for you, so you may use them for your videos. However: (a) AI outputs may not be eligible for copyright and may be similar to outputs generated for others; (b) stock footage, music, fonts, and voices are licensed from third parties and your use must comply with those licenses; and (c) you may not use outputs in violation of the Acceptable Use Policy.
- Third-party assets. Stock media and AI voices are provided under the licenses of their respective providers. You are responsible for staying within those license terms.
- Feedback. If you send us feedback, you grant us a perpetual, royalty-free license to use it without obligation to you.
6. Third-party services
The Service integrates third parties (e.g. the YouTube Data API, AI model and voice providers, payment and hosting providers). Your use of features that rely on them is also subject to their terms, and we are not responsible for their acts or omissions. In particular, features using YouTube API Services are subject to the YouTube Terms of Service (https://www.youtube.com/t/terms) and the Google Privacy Policy (https://policies.google.com/privacy).
7. Acceptable use
Your use must comply with the Acceptable Use Policy, which is incorporated into these Terms. We may suspend or terminate accounts that violate it.
8. Service availability & changes
We may modify, suspend, or discontinue any part of the Service at any time. We aim for high availability but do not guarantee uninterrupted, error-free operation. We may update these Terms; material changes will be notified (e.g. by email or in-app) and take effect on the stated date. Continued use after that date means you accept the updated Terms.
9. Suspension & termination
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your access if you breach these Terms or the AUP, if required by law, or to protect the Service or other users.
- On termination, your license to use the Service ends. Sections that by their nature should survive (e.g. IP, disclaimers, liability, governing law) survive.
- Unused credits on termination are handled per the Refund Policy.
10. Disclaimers
The Service and all outputs are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and that outputs are original, error-free, or safe to publish. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you; statutory consumer rights that cannot be excluded are unaffected.
11. Platform compliance, monetization & niche disclaimers
- No affiliation. {{PRODUCT_NAME}} is not affiliated with, endorsed by, or sponsored by YouTube or Google. "YouTube" is a trademark of Google LLC.
- No monetization guarantee. We do not promise or guarantee that any channel or video will be accepted into, remain in, or earn revenue from the YouTube Partner Program or any other monetization program. Acceptance, demonetization, limited-ads status, strikes, reach or recommendation changes, suspension, and termination are decisions made solely by the platform under its own policies, which change over time.
- Your compliance duties. You are solely responsible for complying with platform policies when you publish — including required disclosures for AI-generated or altered content, "reused content", spam and deceptive-practices policies, and accurate metadata (titles, descriptions, tags, and thumbnails must not be misleading).
- Sensitive niches. If you publish content touching health/medical, financial, legal, or similarly regulated topics: outputs are for general information and entertainment only and are not medical, financial, legal, or other professional advice; you must include any disclaimers required by the platform, by law, or by prudent practice (the Service may suggest wording, but including and keeping it is your responsibility); and you must not present yourself or your channel as a licensed professional — including using titles such as "Dr.", "doctor", "attorney", or "financial advisor" in a channel name or branding — unless you actually hold that license.
- No liability for platform actions. To the maximum extent permitted by law, we are not liable for any demonetization, loss of monetization eligibility, reach, or revenue, content removal, strikes, suspension, or termination of your accounts or channels on any platform.
12. Limitation of liability
To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill; and (b) our total aggregate liability arising out of or relating to the Service is limited to the greater of the amounts you paid us in the three (3) months before the event giving rise to the claim, or 50 {{currency}}. Nothing in these Terms limits liability that cannot be limited by law (e.g. for fraud, or for death or personal injury caused by negligence), and mandatory consumer-protection rights are unaffected.
13. Indemnification
To the extent permitted by law, you will indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of outputs, your published videos, or your breach of these Terms or the AUP.
14. Governing law & disputes
These Terms are governed by {{GOVERNING_LAW}}, without regard to conflict-of-law rules. Disputes will be subject to the exclusive jurisdiction of those courts, except that if you are a consumer, you retain the protection of mandatory provisions and the courts available to you under the law of your country of residence.
15. General
- Entire agreement. These Terms, the Privacy Policy, and the AUP are the entire agreement between us regarding the Service.
- Severability. If any provision is unenforceable, the rest remains in effect.
- No waiver. Failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or asset sale.
